1. Algemeen/General
Deze algemene voorwaarden zijn van toepassing op alle verbintenissen, hieronder mede begrepen doch niet beperkt tot verbintenissen tot vervaardiging van ontwerpen en/of producties en/of aflevering of ter beschikkingstelling van audiovisuele werken, uit de overeenkomst waarop deze voorwaarden van toepassing zijn verklaard. Zij zijn tevens van toepassing op alle verbintenissen die voortvloeien uit nadien tussen partijen gesloten overeenkomsten, andere handelingen of precontractuele rechtsbetrekkingen.

These general terms and conditions apply to all obligations, including but not limited to obligations for the manufacture of designs and/or productions and/or delivery or provision of audiovisual works, under the agreement to which these conditions have been declared applicable. They also apply to all obligations arising from agreements, other actions or pre-contractual legal relationships concluded subsequently between the parties.
2. Definities/Definitions
Opdrachtgever: de rechtspersoon die de overeenkomst aangaat met opdrachtnemer en financieel verantwoordelijk is.
Opdrachtnemer/videograaf/filmmaker: The Dutch Video Guy | Iwan Appels | thedutchvideoguy.nl | KVK. 69996989
Cliënten: In geval van bruiloften zijn de bruid en bruidegom ten alle tijden de cliënten, onafhankelijk van de opdrachtgever/persoon die voor de diensten betaald. Bij bedrijven geldt dat de contactpersoon de cliënt is.
Offerte: alle aanbiedingen van The Dutch Video Guy aan (rechts)personen waarmee beoogd wordt een overeenkomst aan te gaan.
Opdracht: de tussen opdrachtgever en opdrachtnemer middels offerte overeengekomen diensten.

Client: the legal entity that enters into the agreement with the contractor and is financially responsible.
Contractor/videographer/filmmaker: The Dutch Video Guy | Iwan Apples | thedutchvideoguy.nl | Chamber of Commerce. 69996989
Clients: In the case of weddings, the bride and groom are always the clients, regardless of the client/person paying for the services. For companies, the contact person is the client.
Quotation: all offers from The Dutch Video Guy to (legal) persons with whom it is intended to enter into an agreement.
Assignment: the services agreed between the client and the contractor through a quotation.
3. Offerte & facturen/Quotes & Invoices
The Dutch Video Guy stelt haar offertes/facturen samen op basis van een inschatting van de benodigde werkuren voor projectvoorbereiding, opnames, montage, materiaalgebruik en andere project-gerelateerde zaken. Alle offertes/facturen, in welke vorm dan ook zijn vrijblijvend, tenzij uitdrukkelijk schriftelijk anders is vermeld en tot 14 dagen na offertedatum geldig, tenzij anders is overeengekomen. De prijzen in de genoemde offerte(s) voor particulieren zijn inclusief BTW, voor bedrijven exclusief BTW, mits anders aangegeven.
De door opdrachtnemer bij de offerte verstrekte gegevens, ideeën, voorgestelde uitwerkingen, enzovoorts, blijven het eigendom van The Dutch Video Guy en zijn, voor zover van toepassing, auteursrechtelijk beschermd. De opdrachtgever is niet bevoegd deze aan derden kenbaar te maken.
Opdrachtnemer kan niet aan haar offerte(s)/facturen of aanbiedingen worden gehouden indien de opdrachtgever redelijkerwijze kan begrijpen dat de offertes of aanbiedingen, dan wel een onderdeel daarvan een kennelijke vergissing of verschrijving bevat.

The Dutch Video Guy compiles its quotes/invoices based on an estimate of the required working hours for project preparation, recording, editing, use of materials and other project-related matters. All quotations/invoices, in whatever form, are without obligation, unless expressly stated otherwise in writing and valid until 14 days after the quotation date, unless otherwise agreed. The prices in the quotation(s) for private individuals include VAT, for companies excluding VAT, unless otherwise stated.
The information, ideas, proposed elaborations, etc. provided by the contractor with the quotation remain the property of The Dutch Video Guy and are, where applicable, protected by copyright. The client is not authorized to make this known to third parties.
The contractor cannot be held to its quotation(s)/invoices or offers if the client can reasonably understand that the quotations or offers, or any part thereof, contain an obvious mistake or typo.
4. Aanvaarding van de opdracht/Acceptance of the assignment
De opdrachtgever dient het aanbod expliciet en schriftelijk te aanvaarden. Indien de opdrachtgever dit nalaat, maar er desondanks mee instemt, of althans de indruk wekt, dat de videograaf werk verricht in het kader van de overeenkomst, dan wordt het aanbod als aanvaard beschouwd. Tevens wordt het aanbod als aanvaard beschouwd zodra aan de voorschotfactuur is voldaan & gaat de opdrachtgever door middel van het voldoen van deze aanbetaling akkoord met de algemene betalings- en leveringsvoorwaarden van The Dutch Video Guy. De opdrachtnemer houdt zich het recht voor een opdracht te weigeren indien na aanvaarding nieuwe informatie beschikbaar komt die de uitvoering voor opdrachtnemer onaanvaardbaar maken. Na aanvaarding kan de overeenkomst slechts met wederzijdse instemming worden gewijzigd. De opdrachtnemer is in dat geval gerechtigd het voor de overeenkomst verschuldigde honorarium aan te passen.

The client must accept the offer explicitly and in writing. If the client fails to do so, but nevertheless agrees, or at least gives the impression, that the videographer is performing work in the context of the agreement, the offer will be considered accepted. The offer is also considered accepted as soon as the advance invoice has been paid and by paying this down payment the client agrees to the general payment and delivery conditions of The Dutch Video Guy. The contractor reserves the right to refuse an assignment if new information becomes available after acceptance that makes the execution unacceptable for the contractor. After acceptance, the agreement can only be changed by mutual consent. In that case, the contractor is entitled to adjust the fee owed for the agreement.
5. Betalingscondities/Payment therms
Bij het afsluiten van de overeenkomst vindt er door de klant een voorschotbetaling plaats van minimaal 10% van de factuur. Dit bedrag dient te worden betaald binnen de daarvoor gestelde termijn van 14 dagen na de factuurdatum, tenzij schriftelijk anders is overeengekomen. Betalingen dienen te worden voldaan naar:

LET OP: Gedurende deze 14 dagen reserveren wij de boekingsdatum. Echter, deze wordt pas definitief na ontvangst van het voorschot. Indien een klant zich binnen 14 dagen bedenkt, maar de voorschotbetaling reeds heeft voldaan, zal een restitutie plaatsvinden van de aanbetaling.
The Dutch Video Guy ontvangt voorafgaand aan de levering van het eindproduct het resterende bedrag van de oudste versie van de uitstaande factuur. Eventuele bezwaren tegen de hoogte van de facturen schorten de betalingsverplichting niet op.
Indien de opdrachtgever in gebreke of in verzuim is in de (tijdige) nakoming van zijn verplichtingen, dan komen alle redelijke kosten ter verkrijging van voldoening buiten rechte voor rekening van de opdrachtgever. De buitengerechtelijke kosten worden berekend op basis van wat in de Nederlandse incassopraktijk gebruikelijk is, echter, indien The Dutch Video Guy hogere kosten ter incasso heeft gemaakt die redelijkerwijs noodzakelijk waren, komen de werkelijk gemaakte kosten voor vergoeding in aanmerking. De opdrachtgever is over de verschuldigde incassokosten eveneens rente verschuldigd. Indien de opdrachtgever na de betaling van het voorschot besluit af te zien van de opdracht (herroeping), behoudt The Dutch Video Guy het recht de aanbetaling te houden als schadeloosstelling, zie ook annulering en restitutie.

When concluding the agreement, the customer makes an advance payment of at least 10% of the invoice. This amount must be paid within the specified period of 14 days after the invoice date, unless otherwise agreed in writing. Payments must be made to: NL85RABO0324 0730 03 attn. The Dutch Video Guy
PLEASE NOTE: During these 14 days we reserve the booking date. However, this only becomes final after receipt of the advance payment. If a customer changes his mind within 14 days, but has already paid the advance payment, the deposit will be refunded.
The Dutch Video Guy will receive the remaining amount of the oldest version of the outstanding invoice prior to delivery of the end product. Any objections to the amount of the invoices do not suspend the payment obligation.
If the client is in default or in default in the (timely) fulfillment of his obligations, all reasonable costs incurred in obtaining payment out of court will be borne by the client. The extrajudicial costs are calculated on the basis of what is customary in Dutch debt collection practice, however, if The Dutch Video Guy has incurred higher collection costs that were reasonably necessary, the actual costs incurred are eligible for reimbursement. The client also owes interest on the collection costs owed. If the client decides to abandon the assignment after payment of the advance payment (revocation), The Dutch Video Guy reserves the right to keep the down payment as compensation, see also cancellation and refund.
6. Annulering & Restituties/Cancellation & Refunds
Indien de opdrachtgever na de betaling van het voorschot, ongeacht de reden, besluit af te zien van de opdracht, behoudt The Dutch Video Guy het recht de aanbetaling te houden als schadeloosstelling. Bij een annulering minder dan twee maanden van de gereserveerde datum wordt 75% van het totaal bedrag in rekening gebracht, bij annuleringen minder dan een maand 100%. Annuleren kan uitsluitend schriftelijk per e-mail (info@thedutchvideoguy.nl).

If the client decides to cancel the assignment after payment of the advance, regardless of the reason, The Dutch Video Guy reserves the right to keep the down payment as compensation. For a cancellation less than two months from the reserved date, 75% of the total amount will be charged, for cancellations less than one month 100%. Cancellations can only be made in writing by e-mail (info@thedutchvideoguy.nl).
7. Uitstel/Delay
Indien de opdrachtgever ongeacht de reden (inclusief overmacht en pandemieën), besluit de opdracht uit te stellen wordt in overleg met The Dutch Video Guy naar een nieuwe geschikte datum gezocht. In geval van uitgestelde Bruiloften behoudt The Dutch Video Guy het recht het totaalbedrag te verhogen naar de prijs die overeenkomt met het trouwseizoen waarin de nieuwe datum valt. Daarnaast behoudt The Dutch Video Guy het recht een toeslag te rekenen van 15% van het nieuwe totaalbedrag indien de nieuwe datum van de bruiloft op een vrijdag of zaterdag in het hoogseizoen wordt gepland (mei t/m september).
Indien een nieuwe datum, ongeacht de reden, niet overeen te komen valt, vervalt het recht op restitutie van het reeds aanbetaalde bedrag.

If the client decides to postpone the assignment, regardless of the reason (including force majeure and pandemics), a new suitable date will be sought in consultation with The Dutch Video Guy. In case of postponed Weddings, The Dutch Video Guy reserves the right to increase the total amount to the price that corresponds to the wedding season in which the new date falls. In addition, The Dutch Video Guy reserves the right to charge a surcharge of 15% of the new total amount if the new date of the wedding is planned for a Friday or Saturday during the high season (May to September).
If a new date cannot be agreed, regardless of the reason, the right to a refund of the amount already paid will lapse.
8. Uitvoeren van de opdracht/Carrying out of the assignment
The Dutch Video Guy zal de opdracht naar beste inzicht en vermogen en in overeenstemming met de eisen van goed vakmanschap uitvoeren, in de stijl waarin zij gebruikelijk werkt. The Dutch Video Guy spant zich in en zal naar beste kunnen handelen in de gegeven en bestaande omstandigheden tijdens de werkzaamheden. Opdrachtgever verplicht zich de omstandigheden voor The Dutch Video Guy zo gunstig mogelijk te maken en waar nodig maatregelen te treffen, waaronder, doch niet uitsluitend, het instrueren van andere aanwezigen. De Opdrachtgever zal The Dutch Video Guy steeds volledige medewerking verlenen, tijdig alle nuttige en nodige informatie, dan wel de toegang hiertoe, verschaffen en zorgen voor de in redelijkheid benodigde faciliteiten.
Film is een kwestie van creativiteit en persoonlijke smaak. Aanvaarding van de Opdracht betekent dat de Opdrachtgever akkoord gaat met de door The Dutch Video Guy gehanteerde stijl.

The Dutch Video Guy will carry out the assignment to the best of its knowledge and ability and in accordance with the requirements of good craftsmanship, in the style in which it usually works. The Dutch Video Guy makes every effort and will act to the best of its ability in the given and existing circumstances during the work. The Client undertakes to make the circumstances as favorable as possible for The Dutch Video Guy and to take measures where necessary, including, but not limited to, instructing other attendees. The Client will always provide The Dutch Video Guy with full cooperation, provide all useful and necessary information or access to it in a timely manner and provide the facilities reasonably required.
Film is a matter of creativity and personal taste. Acceptance of the Assignment means that the Client agrees with the style used by The Dutch Video Guy.
9. Correcties/Corrections
Bij iedere opdracht is een kleine correctie/feedback ronde inbegrepen. Hieronder worden verstaan: het weglaten van enkele beelden, tekstuele veranderingen etc. Grote correcties zoals het compleet veranderen van beelden, omgooien van volgorde van beelden, muziek verandering etc. kunnen in rekening worden gebracht tegen een uurtarief van €95 excl. btw. The Dutch Video Guy beslist wat onder grote correcties en kleine correcties valt en zal dit duidelijk toelichten aan opdrachtgever.

A small correction/feedback round is included with each assignment. This includes: omitting some images, textual changes, etc. Major corrections such as completely changing images, reversing the order of images, changing music, etc. can be charged at an hourly rate of €95 excl. VAT. The Dutch Video Guy decides what falls under major corrections and minor corrections and will explain this clearly to the client.
10. Levering van de films/Delivery of final films
Het eindproduct wordt normalerwijze binnen 3 weken opgeleverd aan de opdrachtgever. Deze termijn is enkel ter indicatie. Oplevering vindt digitaal plaats door middel van een link waar het eindproduct vanaf gedownload kan worden. The Dutch Video Guy behoudt ten alle tijde de volledige creatieve vrijheid over de eindmontage.
Opdrachtnemer bewaart een reservekopie van het eindproduct tot maximaal 6 maanden. Indien door omstandigheden buiten de schuld van opdrachtnemer het materiaal verloren raakt, kan de opdrachtgever hiervoor geen schadevergoeding eisen.
The Dutch Video Guy levert enkel en alleen het overeengestemde eindproduct en niet de ruwe data.

The end product is normally delivered to the client within 3 weeks. This period is for indicative purposes only. Delivery takes place digitally through a link from which the end product can be downloaded. The Dutch Video Guy retains full creative freedom over the final editing at all times.
The Contractor keeps a backup copy of the end product for a maximum of 6 months. If the material is lost due to circumstances beyond the contractor's control, the client cannot claim compensation for this.
The Dutch Video Guy only delivers the agreed end product and not the raw data.
11. Auteursrecht/Copyright
Op alle producties rust het auteursrecht. Indien de opdrachtgever wenst dat de beelden gemaakt tijdens de filmdag (van hem/haar of het gezin)
Het auteursrecht alsmede andere rechten van intellectuele eigendom op alle in het kader van de opdracht ontwikkelde werken berust bij The Dutch Video Guy. Elke overeenkomst houdt mede de in dit artikel omschreven licentie in met betrekking tot het werk van The Dutch Video Guy, indien niet anders overeengekomen. Niettemin geldt dat zolang een productie nog niet is geleverd of nog niet helemaal is betaald, alle rechten exclusief bij The Dutch Video Guy blijven.
The Dutch Video Guy geeft bij levering van producties in de zin van de Auteurswet toestemming voor het in de offerte overeengekomen gebruik. Voor elke andere toepassing of ander gebruik van het geleverde moet een aanvullende overeenkomst gesloten worden. Dit geldt ook voor publicatie in enig ander medium dan waarvoor hij volgens de opdracht werd gemaakt.
The Dutch Video Guy houdt zich het recht voor de werken te gebruiken voor eigen promotionele doeleinden en publicaties, waaronder, doch niet uitsluitend, website en weblog, portfolio, advertenties, sociale media, tijdschriftartikelen, in drukwerk, beursmateriaal en demonstratie materiaal etc. Mocht de opdrachtgever hier bezwaar tegen hebben, dan kan dit vooraf schriftelijk worden aangegeven (info@thedutchvideoguy.nl).
De opdrachtgever is niet gerechtigd het werk te verveelvoudigen of openbaar te maken buiten de huiselijke kring, tenzij anders is overeengekomen of dit uit de overeenkomst voortvloeit.
Opdrachtgever is nadrukkelijk niet gerechtigd de Werken voor zakelijke of commerciële doeleinden, althans voor andere doeleinden buiten de huiselijke kring, te gebruiken of te verhandelen zonder voorafgaande toestemming van The Dutch Video Guy.
Opdrachtgever is, tenzij anders overeengekomen, niet bevoegd sub licenties te verlenen aan derden, noch haar eigen licentie over te dragen.
Opdrachtgever dient schriftelijk toestemming te vragen voor het inzenden van werken ten behoeve van wedstrijden en publicaties door derden.
Opdrachtgever dient de persoonlijkheidsrechten van The Dutch Video Guy, waaronder de verplichting tot naamsvermelding, zoals vermeld in artikel 25 Aw. in acht te nemen. Digitaal of analoog bewerken of wijzigen van de geleverde Werken is niet toegestaan zonder voorafgaande schriftelijke toestemming van The Dutch Video Guy. Elk gebruik van een werk van The Dutch Video Guy dat niet is overeengekomen, wordt beschouwd als een inbreuk op het auteursrecht van The Dutch Video Guy.
Onder ‘gebruik dat niet is overeengekomen’ wordt niet alleen verstaan hergebruik zonder toestemming, maar ook verminking en/of aantasting van de bijdrage, en publicatie zonder naamsvermelding.
Elk gebruik van een werk van de videograaf dat niet is overeengekomen, wordt beschouwd als een inbreuk op het auteursrecht van The Dutch Video Guy. Bij inbreuk op de auteursrechten en/of persoonlijkheidsrechten van The Dutch Video Guy, rekent zij drie maal de gebruikelijke licentievergoeding voor een dergelijk geval, ter vergoeding van de geleden schade.
Schadevergoeding geeft geen recht op verder gebruik van het werk van The Dutch Video Guy. Bij ingrijpende wijziging van het geleverde werk die niet de goedkeuring van The Dutch Video Guy krijgt, kan zij op grond van de Auteurswet het gebruik van haar werk verbieden.
Opdrachtgever garandeert aan The Dutch Video Guy dat geen intellectuele eigendomsrechten van derden zich verzetten tegen de uitvoering van de Overeenkomst door The Dutch Video Guy en dat de opdrachtgever volledige en onbeperkte toestemming heeft van alle rechthebbenden om onderdelen waarop intellectuele eigendomsrechten rusten op te nemen in het programmamateriaal en door The Dutch Video Guy vast te laten leggen op geluid, beeld of andere informatiedragers.
Opdrachtgever zal The Dutch Video Guy en alle aan haar gelieerde partijen volledig vrijwaren en schadeloos stellen voor iedere vordering wegens een inbreuk op het intellectuele eigendomsrecht van The Dutch Video Guy.

All productions are subject to copyright. If the client wishes that the images taken during the filming day (of him/her or the family)
The copyright and other intellectual property rights on all works developed in the context of the assignment belong to The Dutch Video Guy. Each agreement also includes the license described in this article with regard to the work of The Dutch Video Guy, unless otherwise agreed. Nevertheless, as long as a production has not yet been delivered or paid for in full, all rights remain exclusively with The Dutch Video Guy.
Upon delivery of productions within the meaning of the Copyright Act, The Dutch Video Guy gives permission for the use agreed in the quotation. An additional agreement must be concluded for any other application or use of the delivered goods. This also applies to publication in any medium other than that for which it was created according to the assignment.
The Dutch Video Guy reserves the right to use the works for its own promotional purposes and publications, including, but not limited to, website and weblog, portfolio, advertisements, social media, magazine articles, in printed matter, exhibition material and demonstration material, etc. Should the If the client objects to this, this can be indicated in advance in writing (info@thedutchvideoguy.nl).
The client is not entitled to reproduce or make public the work outside the home, unless otherwise agreed or this arises from the agreement.
The Client is expressly not entitled to use or trade the Works for business or commercial purposes, or at least for other purposes outside the home, without prior permission from The Dutch Video Guy.
Unless otherwise agreed, the Client is not authorized to grant sublicenses to third parties, nor to transfer its own license.
The Client must request written permission to submit works for competitions and publications by third parties.
The Client must respect the personality rights of The Dutch Video Guy, including the obligation to mention the name, as stated in Article 25 of the General Administrative Law Act. to be taken into account. Digital or analogue editing or modification of the delivered Works is not permitted without prior written permission from The Dutch Video Guy. Any use of a work by The Dutch Video Guy that has not been agreed is considered an infringement of the copyright of The Dutch Video Guy.
'Use that has not been agreed' does not only mean reuse without permission, but also mutilation and/or deterioration of the contribution, and publication without mentioning the name.
Any use of a work by the videographer that has not been agreed is considered an infringement of the copyright of The Dutch Video Guy. In the event of infringement of the copyrights and/or personality rights of The Dutch Video Guy, it charges three times the usual license fee for such a case, to compensate for the damage suffered.
Compensation does not entitle you to further use of The Dutch Video Guy's work. In the event of a major change to the work delivered that does not receive the approval of The Dutch Video Guy, it can prohibit the use of its work under the Copyright Act.
The Client guarantees to The Dutch Video Guy that no intellectual property rights of third parties oppose the execution of the Agreement by The Dutch Video Guy and that the Client has full and unrestricted permission from all rights holders to include parts subject to intellectual property rights in the program material. and by having The Dutch Video Guy recorded on sound, images or other information carriers.
The Client will fully indemnify and hold harmless The Dutch Video Guy and all its affiliated parties against any claim due to an infringement of The Dutch Video Guy's intellectual property rights.
12. Portretrecht/Publicity & Image right
De videograaf houdt zich het recht voor de werken te gebruiken voor eigen promotionele doeleinden en publicaties, waaronder, doch niet uitsluitend, website en blog, portfolio, social media, tijdschriftartikelen, in drukwerk en beursmateriaal, tenzij anders overeengekomen. Afwijkende afspraken worden schriftelijk vastgelegd.

The videographer reserves the right to use the works for his own promotional purposes and publications, including, but not limited to, website and blog, portfolio, social media, magazine articles, in printed matter and trade fair materials, unless otherwise agreed. Deviating agreements are recorded in writing.
13. Overmacht, ziekte & aansprakelijkheid/Force majeure, illness & liability
Onder overmacht wordt in deze voorwaarden verstaan elke van de wil van de opdrachtgever en/of opdrachtnemer onafhankelijke omstandigheid waardoor de nakoming van de overeenkomst redelijkerwijs van de tegenpartij niet kan worden gevergd.
Indien naar het oordeel van opdrachtnemer de overmacht van tijdelijke aard zal zijn heeft deze het recht de uitvoering van de overeenkomst zo lang op te schorten totdat de omstandigheid die de overmacht oplevert zich niet meer voordoet.
Bij ziekte van opdrachtnemer op een filmopnamedag van een eenmalig evenement, zoals bruiloften, zal de overeenkomst worden ontbonden. Eventueel gedane voorschotten aan opdrachtnemer worden binnen 14 dagen teruggestort, maar opdrachtnemer zal geen enkele andere vorm van verantwoordelijk dragen met betrekking tot de overeenkomst. De opdrachtgever kan bij ziekte van de opdrachtnemer geen schadevergoeding eisen. Deze beperking van de aansprakelijkheid zal ook gelden in het geval dat de audiovisuele materialen, buiten de schuld van de videograaf om, tijden het verwerken beschadigd raken of verloren raken door een fout in de camera, de materialen kwijt raken in de post, gestolen worden of op andere wijze beschadigd of kwijt raken. Wanneer de videograaf ten gevolge van een andere reden tekort schiet, zal de aansprakelijkheid beperkt blijven tot de waarde van de order van die cliënten.

In these terms and conditions, force majeure means any circumstance independent of the will of the client and/or contractor as a result of which compliance with the agreement cannot reasonably be expected from the other party.
If, in the opinion of the contractor, the force majeure will be of a temporary nature, it has the right to suspend the execution of the agreement until the circumstance causing the force majeure no longer occurs.
In the event of illness of the contractor on a filming day of a one-off event, such as weddings, the agreement will be terminated. Any advances made to the contractor will be refunded within 14 days, but the contractor will not bear any other form of responsibility with regard to the agreement. The client cannot claim compensation in the event of the contractor's illness. This limitation of liability shall also apply in the event that the audiovisual materials, through no fault of the videographer, are damaged or lost during processing due to a fault in the camera, are lost in the mail, are stolen or damaged or lost in any other way. If the videographer fails for any other reason, liability will be limited to the value of the order from those clients.
